DN AGRAR GROUP SA:

”The proposed acquisition marks another important step in the execution of our 2025–2030 Development Strategy and supports our vision of developing an integrated food production cluster.

By expanding into the horticultural segment, we are strengthening our agricultural platform, diversifying our revenue streams, and creating new opportunities for sustainable long-term value creation.

Looking beyond this transaction, we will continue to evaluate strategic investment opportunities across Romania and the wider European market that complement our integrated business model, generate operational synergies, and deliver attractive long-term returns. Our ambition is to continue building a stronger and more diversified agri-food platform while creating sustainable value for our shareholders.”

The Greenhouse Project details

✅ Panorganic Vitavit's assets, valuated at approximately EUR 3 million based on June figures, comprise a 14-hectare property in Arad County, including a modern 1-hectare glass greenhouse that has been operational since 2022.

✅ The greenhouse is currently dedicated to lettuce and basil cultivation and has an annual production capacity of approximately 1.2 million heads of lettuce. Through operational optimization and efficiency improvements within the existing greenhouse, DN AGRAR expects production capacity to increase to approximately 1.6 – 2.0 million heads of lettuce per year, without requiring additional greenhouse space.

✅ The facility is Global G.A.P. certified, and its production is currently supplied to the Romanian market. In addition, the property includes approximately 13 hectares of undeveloped land, providing significant opportunities for future expansion.

✅ During 2026, DN AGRAR will assess the feasibility of expanding the existing horticultural operations. Subject to a positive assessment, the Group intends to develop an additional 1–2 hectares of modern glass greenhouse capacity for lettuce production over the following two years, depending on market conditions, permitting and investment returns.

☑️ The Group will continue to actively evaluate acquisition opportunities across Romania and the wider European market, assessing each potential investment through a disciplined process focused on strategic fit, financial returns, operational synergies and long-term value creation.

☑️ Over the past four and a half years, DN AGRAR has consistently demonstrated its ability to translate strategic investments into profitable growth and shareholder value.
